Version 1, effective September 30, 2026.
These terms govern the Partner Program of Kwoji, a French SASU with a share capital of 100 euros, SIREN 108 473 042 (Paris trade register), 47 rue Vivienne, 75002 Paris, France ("Kwoji"). You accept them by ticking the box provided for this purpose in your application, before you receive your code (section 3).
1. How it works
You introduce a company that did not know Kwoji yet, and it becomes a customer: you earn 50% of what it pays during its first year. The company you introduce gets 10% off for 12 months.
2. Who can join
- A company or an independent professional (sole traders included), established in France.
- An organization that already uses Kwoji, on a free or paid plan, established in France.
- An individual who is a French tax resident, within the limits of section 8.
Partners established outside France are not accepted in this version of the program. Kwoji may consider a request on a case-by-case basis.
The following cannot receive a commission:
- Kwoji employees and officers;
- anyone who works for the company introduced, or who takes part in its purchasing decision (see section 7).
3. Becoming a partner
- You apply from your Kwoji account, whose email address is verified: name, company and company registration number if any, LinkedIn profile, the audience you plan to talk to about Kwoji, and the code you would like.
- You accept these terms by ticking the box "I have read and accept the terms of the Partner Program, version 1". Kwoji keeps the accepted version and its date.
- We reply within two business days. For any question about your application or the program, write to mathis@kwoji.com.
- If your application is accepted, we give you your personal partner code, the code you asked for if it is available. It opens on the date of acceptance, which we confirm by email.
Kwoji may decline an application without stating a reason.
4. Attribution
- A customer is attributed to you when it enters your partner code at the time it subscribes to Kwoji, including during its free trial.
- New customers only: the company introduced must not have created any Kwoji workspace before your code opened. If it already had one, it keeps the discount of section 5, but no commission is due.
- If the code was forgotten, you can request the attribution from your partner space ("Request attribution"), and you or the customer can tell us at mathis@kwoji.com, within 30 days of its first invoice for an amount above zero. After that, no attribution is possible.
- A customer is attributed to one partner only, once. It cannot switch partners afterwards.
- A customer that already paid for a Kwoji subscription before entering a code cannot be attributed.
- No reciprocal referrals: if an organization was attributed to you, you cannot be attributed to it in return, nor the other way round.
5. What the introduced customer gets
The customer who enters your code gets 10% off its invoices for the 12 months following its subscription. The discount is reserved for a first order from Kwoji. It cannot be combined with any other promotion code.
If the code is entered after the subscription (a forgotten code reported within the period set in section 4), the discount applies from the invoice that follows Kwoji's approval of the attribution, in whole months, until the 12th month following the subscription. It does not apply retroactively: invoices already issued are not refunded.
6. Your commission
- Amount: 50% of the amount excluding taxes actually collected by Kwoji from the introduced customer, after the discount.
- Duration: on paid invoices dated before the first anniversary of the customer's first invoice for an amount above zero. If an earlier invoice for an amount above zero is found later, the window restarts from that actual first invoice. On an annual plan, this covers the first annual invoice and any extra members billed during that year; the second-year renewal is not included.
- Holding period: an invoice earns a commission only once it has been paid for more than 90 days, the period during which a payment can still be disputed.
- Refunds: a refunded or voided invoice earns no commission. A disputed invoice earns no commission while the dispute is pending; a dispute resolved in Kwoji's favor restores the commission. If the commission was already paid, it is deducted from later payouts. If there is no later payout, the partner repays the overpayment to Kwoji within 30 days of being asked.
- Currency: commissions are calculated in the currency of the customer's invoices, without conversion.
- Payout: every quarter. A statement is made available in your partner space within 15 days after the end of the quarter. Amounts under €50 roll over to the next quarter; for commissions in another currency, the threshold is the equivalent of €50 in that currency.
- How you are paid:
- professional: bank transfer upon receipt of your invoice;
- individual: bank transfer upon receipt of a signed referral fee note (see section 8);
- organization using Kwoji: by default, a discount on your next Kwoji invoices, up to what your organization pays Kwoji over the following 12 months. Any excess is paid by bank transfer, against an invoice from your company. You can also ask for a bank transfer for the full amount.
Amounts exclude taxes. If you are subject to VAT, your invoice shows it according to the rules that apply to you.
7. Fair play
Any breach of the rules below allows Kwoji to exclude you without notice and to withhold the commissions related to the breach (section 10). The following are forbidden:
- self-referral: entering your own code for your own organization, or for an organization where you are an owner, administrator or employee;
- hidden commission: earning a commission on a purchase made by your own employer, or by a company where you take part in the purchasing decision. Such a purchase earns no commission;
- giving your code to a company that already knew Kwoji, to earn a commission on a purchase that would have happened without you;
- bidding on the word "Kwoji" or its variants in search engines or ad networks;
- publishing your code on coupon or deal websites;
- sending unsolicited messages (spam);
- presenting yourself as Kwoji, or suggesting you speak on its behalf;
- making claims about the product or its prices that do not appear on kwoji.com.
Before each payout, Kwoji checks that the partner is not a member of the organization attributed to them.
Disclosure: when you talk about Kwoji to the public (social media, a blog, a video, a newsletter), you state clearly and legibly that you are paid, for example with the "Commercial collaboration" line at the end of the post, as required by French law no. 2023-451 of 9 June 2023 on commercial influence. This disclosure is not required in a private exchange with a contact (email, direct message).
8. Individuals
An individual may take part on an occasional basis. In that case:
- they provide their name, address and bank details, and sign a referral fee note for each payout, prepared by Kwoji, which recalls their acceptance of these terms;
- the amounts received are taxable income, which they are responsible for declaring;
- Kwoji reports to the French tax authorities the amounts paid above €1,200 per year and per beneficiary, as the law requires;
- beyond three customers introduced over twelve months, Kwoji may ask them to adopt a professional status (for example sole trader) to keep receiving commissions.
9. Personal data
Kwoji processes partner data (identity, contact details, company, commissions, application, version and date of acceptance of the terms) to run the program and meet its accounting and tax obligations. Your bank details reach us on your invoice or your referral fee note, and stay on those documents: they are not stored in the Kwoji application. The data is kept for as long as you take part, then for ten years from the close of the financial year of the last payout, for accounting records. An application that is declined, or withdrawn, is deleted twelve months after the answer or the withdrawal. You can exercise your rights at mathis@kwoji.com.
Kwoji does not share with you any personal data about the people of the company you introduced. For each company attributed to you, you see the company's name, the date its space was created, its plan and billing period, and the amount of your commission. The company is told so when it enters your code.
10. Term, changes, termination
- Either party may end its participation at any time, by email (for Kwoji, at mathis@kwoji.com).
- Kwoji may change or end the program with 30 days' notice to partners by email. Commissions already earned, and those for customers attributed before the change, remain due under the terms in force when the customer was attributed.
- In case of a breach of section 7, Kwoji may exclude a partner without notice and withhold the commissions related to the breach.
- The partner acts independently. These terms create no employment contract, agency, partnership or exclusivity, either way.
11. Governing law
These terms are governed by French law. In case of dispute, the parties first seek an amicable solution; failing that, the courts of Paris have jurisdiction, subject to mandatory rules that protect consumers.
